These Terms & Conditions govern the supply of goods by AVVRAX Limited ("AVVRAX", "we", "us", or "our") to business customers purchasing products for resale, trade, or commercial use.
By placing an order with AVVRAX, the customer ("Customer", "Buyer") agrees to be bound by these Terms & Conditions unless otherwise agreed in writing.
These Terms apply to all orders placed via:
• Direct account trading
• Email purchase orders
• Online platform orders
• Marketplace fulfilment arrangements
AVVRAX supplies products exclusively to business customers and does not sell directly to consumers.

Eligibility & Trade Accounts

AVVRAX supplies goods exclusively to registered business customers.

To place orders, customers must first open a trade account with AVVRAX and provide:

• Registered business details
• VAT registration (if applicable)
• Contact and delivery information

AVVRAX reserves the right to approve, decline, or suspend trade accounts at its sole discretion.

While every effort is made to ensure product information is accurate, specifications, packaging, and labelling may change without prior notice.

All products are offered subject to availability.

AVVRAX reserves the right to:

• Substitute products with equivalent items where necessary
• Limit quantities per order
• Discontinue products without notice

All prices quoted are exclusive of VAT unless otherwise stated.

Prices may change without prior notice due to:

• supplier cost changes
• currency fluctuations
• market conditions

The price confirmed at the time of order acceptance will apply.

In the event of a pricing error, AVVRAX reserves the right to cancel or amend the order before dispatch.

AVVRAX supports businesses of all sizes and does not impose strict minimum order quantities.

Orders may range from small mixed orders to pallet or full-load shipments depending on customer requirements.

However, AVVRAX reserves the right to apply:

• minimum order values for certain products
• pallet quantity requirements for selected items

Delivery & Logistics
AVVRAX distributes products across the United Kingdom using a network of logistics partners.

Delivery times are estimates and may vary depending on:

• stock availability
• order size
• delivery location

AVVRAX shall not be liable for delays caused by:

• courier services
• weather conditions
• transportation disruptions
• circumstances beyond our control.

Risk in goods passes to the customer upon delivery.

Returns & Damages

Returns are accepted only with prior authorization from AVVRAX.

Customers must notify AVVRAX of:

• damaged goods
• missing items
• incorrect deliveries

within 48 hours of receipt.

Products must be returned in their original packaging and in resaleable condition.

Payment Terms

Payment terms will be agreed upon during account setup.

These may include:

• Pro-forma payment
• Credit account terms
• Pre-payment

Late payments may result in:

• suspension of trading
• withholding of deliveries
• interest charges on overdue balances.

Force Majeure

AVVRAX shall not be liable for failure to fulfil obligations where such failure results from events beyond reasonable control including:

• natural disasters
• supplier disruptions
• transportation failures
• government restrictions

Governing Law

These Terms & Conditions shall be governed by and interpreted in accordance with the laws of England and Wales.

Any disputes arising shall be subject to the exclusive jurisdiction of the courts of England and Wales.
